Terms of Service

These Terms of Service ("Terms") govern access to and use of the OS Auction platform and website (collectively, "the Service"), operated by OS Auction, Inc.("we", "us", or "our"). By creating an account or using the Service, an independent auto dealership ("Dealer", "you") and its authorized users agree to be bound by these Terms.

1. The Service

OS Auction is a B2B software platform designed for independent auto dealerships, providing VIN decoding, auction-comp valuation, vehicle history (Carfax/AutoCheck) analysis, and inventory/workbook tracking.

• Web Platform & Data Entry: The Service is a web application. You enter vehicle details (such as VIN, mileage, ZIP code, and any wholesale or purchase figures you obtain yourself) manually, and the Service combines them with market data from MarketCheck and public U.S. government sources, plus any vehicle history reports (Carfax/AutoCheck) you upload.
• User Responsibility: You acknowledge and agree that you are solely responsible for ensuring that the data and documents you enter or upload are obtained lawfully and that your use of them complies with the terms of the third parties that provide them to you.

2. Accounts & Organizations

• Each dealership operates its own isolated workspace ("Organization"). Data and inventory from one Organization are logically separated and not visible to other organizations.
• The Organization Administrator is solely responsible for managing invited user seats and maintaining the strict security of account credentials.
• You agree to provide accurate registration information and not to share login credentials or API keys outside of your authorized dealership personnel.

3. Subscription & Billing

• Pricing: The Service is billed at $199 per seat per month (covering the Admin and each invited user seat), processed securely via Stripe. We do not store raw credit card details on our servers.
• Trials & Renewal: Where a trial period is offered, your card will be charged automatically at the conclusion of the trial unless cancelled prior to its expiration. Subscriptions automatically renew each billing cycle.
• Cancellation & Refunds: You may cancel your subscription at any time via the Stripe Customer Portal accessible through the Billing page. No refunds or credits are issued for partial billing periods. Cancellation takes effect at the end of the current paid billing cycle, during which you will retain full access to the Service.

4. Third-Party Data Processing

To deliver the Service, data you submit is processed by trusted third-party infrastructure and service providers, each operating under their own privacy policies:

• Clerk — Authentication and Organization management.
• Stripe — Payment processing and subscription lifecycle.
• Neon (Postgres) & Vercel — Database hosting and application infrastructure.
• Google Gemini / OpenAI — AI-assisted analysis of uploaded vehicle history documents.
• MarketCheck — Active-listing market comparables.
• NHTSA (vPIC / recalls) — Public U.S. government VIN decoding and recall data.

All auction names and trademarks are the property of their respective owners. TrueNest Auto is an independent platform and is not affiliated with or endorsed by Cox Automotive, Manheim, ADESA, or other listed entities. Auction names in the Service are text labels a dealer selects to record where a vehicle was sourced.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, state, federal, or international laws or regulations.
• Attempt unauthorized access to another dealership's Organization, data, or system infrastructure.
• Reverse-engineer, decompile, or extract the source code of the Service beyond what is expressly permitted by applicable law.
• Resell, sublicense, or commercially redistribute access to the Service without our express written consent.

6. Vehicle Data Accuracy & Decision Disclaimer

Valuations, market comps, wholesale value figures, vehicle history reports, market days supply (DOM), and AI-generated audit insights are provided as decision-support tools only. They do not constitute a financial guarantee, mechanical inspection, or certification of a vehicle's condition, history, or market value. You retain 100% responsibility for your own appraisal, bidding, purchasing, and reconditioning decisions.

7. Indemnification

You agree to defend, indemnify, and hold harmless OS Auction, Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal and accounting fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including third-party auction platform terms or intellectual property rights; or (d) any purchasing or operational decisions made using data provided by the Service.

8. Termination

We reserve the right to suspend or terminate your access to the Service immediately, without prior notice, for breach of these Terms, non-payment, or misuse of the platform. You may terminate your use of the Service at any time by cancelling your subscription through your billing dashboard.

9. Disclaimer of Warranties & Limitation of Liability

• "As Is":The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
• Limitation of Liability: To the maximum extent permitted by applicable law, OS Auction, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
